Branded Calling ID Service Terms of Use

ACCEPTANCE OF TERMS OF USE

These Terms of Use are entered into by and between you, as a third-party legal entity ("you", "your", or "Registrant") and Parrot Mobile LLC ("we", "our", or "us"). The following terms and conditions, along with any documents incorporated by reference, (collectively, these "Terms of Use") govern your access to and use of the Branded Calling ID Service, including any functionality and services offered through it.

By using the Branded Calling ID Service, you represent and warrant that you are a legally formed entity in good standing, with the full authority to enter into this agreement. Any individual accessing the service on your behalf also represents they have the legal authority to act for the Registrant.

We may terminate these Terms of Use with thirty (30) calendar days' written notice. However, termination can be immediate and without notice if you violate these Terms of Use. Upon termination, your right to use the Branded Calling ID Service ceases immediately.

PURPOSE OF THE SERVICE

You will provide certain information, as detailed in Appendix A of this document, which will be vetted, validated, and shared with third parties, including Branded Calling ID LLC ("BCID LLC"), to operate the Branded Calling ID Services. The "Branded Calling ID Services" include the infrastructure, the data submitted and generated (like Rich Call Data (RCD), electronic identification (EID) data, and your logos), and the signing of calls with your branded information for display on an end user's device.

Please note that participation in the Branded Calling ID Services does not guarantee the display of any of your RCD on any phone.

CHANGES TO THESE TERMS OF USE

We may revise and update these Terms of Use at our discretion. We will provide you with at least sixty (60) days' prior written notice of any changes. Your continued use of the Branded Calling ID Service after the notice period means you accept and agree to the revised terms.

APPLICATION AND REGISTRATION PROCESS

You agree to provide accurate application data ("Application Data") for registration. This data will be vetted and validated by third-party data sources. We will notify you of the results of this verification process. Your acceptance of these terms or submission of data does not guarantee the inclusion of your information in the Branded Calling ID Services.

You hereby represent, warrant, and covenant that:

  • All information and data you provide are and will remain current, accurate, and complete.
  • No information or data you provide infringes on the intellectual property, privacy, or other rights of third parties.
  • You have all necessary rights and permissions for the Application Data you provide, and your acceptance of these terms does not breach any other contracts you may have.

REGISTRANT ACKNOWLEDGMENTS AND OBLIGATIONS

You acknowledge and agree to the following:

  • Participation does not guarantee any specific call treatment, signing, or display by third parties.
  • You will only be charged for calls that are successfully delivered with your data to the recipient.
  • The service's utility depends on the accuracy of your Application Data. You must provide updates to your information within five (5) business days of any change.
  • To be onboarded, you must provide all required caller information. Incomplete information will prevent the completion of onboarding services.
  • We will collect information from you to support ongoing vetting and monitoring. This includes an annual re-certification of your corporate standing, financial viability, and any legal or regulatory proceedings against you. You agree to comply with any additional re-vetting directed by BCID LLC.

We may remove any of your material from the Branded Calling ID Services at our sole discretion. If we receive information that conflicts with an original verification, we may invalidate your verified information and remove it from the service.

LICENSE

You grant us a perpetual, non-exclusive, transferable, sublicensable, and irrevocable license to use, process, and disclose your Application Data to third parties to perform the Branded Calling ID Services. This includes billing, testing new services (with your permission), and sharing information with verification services and terminating service providers.

PAYMENT AND PAYMENT DISPUTES

Should you have a dispute regarding fees, you must raise the issue within five (5) calendar days of receiving the invoice. You must provide supporting data, and both parties will work in good faith to resolve the dispute within thirty (30) calendar days. Undisputed fees must be paid on time. In all disputes, BCID LLC's data will be considered the data of record. If a dispute is not resolved within thirty (30) days, it will be escalated to executives at each company.

AVAILABILITY AND SECURITY

Availability

We may change or withdraw the Branded Calling ID Services at our discretion but will provide reasonable prior notice of material changes when practical. We are not liable if the service is unavailable, and temporary interruptions may occur.

Security

Electronic communications carry risks, and we do not guarantee that information you send will be secure from unauthorized access. You understand that the technical processing of your information may involve transmissions over various networks.

INTELLECTUAL PROPERTY RIGHTS

The Branded Calling ID Services and all of its content are owned by BCID LLC or other providers and are protected by intellectual property laws. These Terms of Use do not grant you any right, title, or interest in the Branded Calling ID Services or its content. You must not modify, reproduce, or use any content outside of what is expressly permitted.

WARRANTIES AND DISCLAIMERS

You represent and warrant that all information you submit is complete and accurate, and that you will use the Branded Calling ID Services in compliance with all applicable laws and the BCID Best Practices.

THE BRANDED CALLING ID SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER WE NOR BCID LLC MAKE ANY WARRANTY REGARDING THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, OR ACCURACY OF THE SERVICES.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL PARROT MOBILE LLC, BCID LLC, OR THEIR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. THE MAXIMUM CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

ANY CLAIM OR CAUSE OF ACTION RELATED TO THE USE OF THE SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE OR BE FOREVER BARRED.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Parrot Mobile LLC, BCID LLC, and their respective directors, officers, and employees ("Indemnitees") against all claims, losses, and damages arising out of your use of the Branded Calling ID Services. This includes indemnification for:

  • Your violation of these Terms of Use.
  • Your violation of the BCID Best Practices.
  • Your use of a Call Logo, Call Reason, or Caller Display Name that contains SHAFT Content.
  • Your use of a Call Logo, Call Reason, or Caller Display Name that allegedly violates the intellectual property rights of a third party.
  • Your negligence or willful misconduct.

This Section shall survive the termination of these Terms of Use.

APPENDIX A: REQUIRED REGISTRANT INFORMATION

As part of the registration and onboarding process, you are required to provide the following information ("Caller Information"):

  • Legal Name and Jurisdiction: Your legal business name and the jurisdiction of your incorporation or registration.
  • Website: Your official business website.
  • Organization Type: Your business structure (e.g., LLC, S Corp., etc.).
  • Physical Address: The physical address of your business.
  • Federal Employer ID Number (FEIN).
  • Billing Contact and Address: The contact information and address for billing purposes.
  • Primary Point of Contact: The name and email for the primary individual contact at your organization.
  • Caller Display Name: The name you wish to be displayed for your calls. This can be your legal name, a DBA, an affiliate's name, or a brand name for which you have legal rights.
  • Doing Business As (DBA): Any DBAs to be used for the BCID Services (optional).
  • Dun & Bradstreet Number (optional).
  • Primary Business Domain (SIC Code) (optional).
  • Corporate Registration Number (optional).
  • Professional License Number (optional).
  • Call Logo (optional).
  • Call Reason (optional).
